These Website Terms of Use ("Website Terms") apply to your use of the website of Last Minute Shippers Inc. ("LMS", "we", "us") at lastminuteshippers.com, including our quote forms, shipping estimator, chat assistant, tracking page and the secure shipment pages we send you by link.
1. Using the website
You may use the website to learn about our services, request estimates and quotes, track shipments and manage your shipments. By using it, you agree to these Website Terms. You must be at least 18 years old, or use the website with the permission of a parent or guardian, and if you act for a business you confirm that you are authorized to do so.
Submitting a quote request does not create a contract for a shipment. A contract is formed only when you accept a formal quote, as the Standard Trading Conditions describe.
2. Our services
LMS is a freight forwarder. We arrange ocean, air, trucking and courier transport, warehousing and related services through carriers and other providers, and we arrange customs clearance through licensed customs brokers. When we perform a service ourselves or issue a transport document in our own name, the Standard Trading Conditions explain our responsibility for it.
3. Estimates, preliminary rates and quotes
- The shipping estimator and our preliminary rates are indicative estimates based on the information you give. They are not quotes and cannot be accepted.
- A formal quote states the cargo, route, services and price it covers, and is valid for 30 days unless it states another date.
- The price in a quote is for the cargo it lists. If the cargo we receive differs in a way that changes the price, we send a revised quote for you to accept. The price can go down as well as up.
- Prices are in the currency stated in the quote. Taxes are charged as the law requires and are shown on the quote and invoice.
- Duties, import taxes, customs broker fees and charges payable at destination are not included unless the quote says so.
4. Payment
Payment amounts and due dates are those in your quote and invoices. After you accept a quote you pay the initial payment it states; your final balance is payable before your cargo is dispatched. We accept PayPal or Interac E-Transfer (CAD only), as your quote and invoice set out.
5. Chat assistant and automated answers
Our website chat assistant uses artificial intelligence to answer general questions about our services. Its answers are general information: they may be incomplete or wrong, they are not a quote or a promise, and they do not change your quote or the Standard Trading Conditions. A person at LMS confirms every quote, revised quote and charge. Please do not enter passwords, payment card numbers or identity document numbers in the chat. You can ask to speak to a person at any time.
6. Address suggestions
When you type an address, our forms may suggest matching addresses using Google's address services. Please check the address you choose; you remain responsible for giving us the correct pickup and delivery addresses. If the suggestions are not available, you can type the address yourself.
7. Your shipment page, documents and signatures
We send you a secure link to a page for each shipment. Anyone with the link can see and act on that shipment, so please do not forward it; we will send a new link if you ask. Documents you upload must be accurate and yours to share, and must not contain malicious code. You can replace an uploaded document until we have reviewed it; once approved or signed, a document is kept as it is and corrections are added as new versions. Accepting, approving and signing on the page is done electronically and has the same effect as signing on paper, as clause 37 of the Standard Trading Conditions explains.
8. Liability for shipments
Liability for loss of, damage to or delay of goods is governed by the Standard Trading Conditions and by the law or convention that applies to the carriage, such as the Montreal Convention for air, the Hague-Visby Rules for ocean and provincial conditions of carriage for trucking. These limits are usually far below the value of the goods. We strongly recommend cargo insurance, which we can arrange on request.
9. Your responsibilities
You must give us accurate and complete information about your cargo, parties and addresses; pack and label your goods properly; declare any dangerous goods or batteries; and comply with export, import and sanctions laws. Prohibited goods include illegal, counterfeit and sanctioned goods, undeclared dangerous goods, and firearms, ammunition, explosives, human remains or biological samples without the required authorization. The Standard Trading Conditions set out these responsibilities in full.
10. Cancellation
Cancellation of a shipment is governed by Schedule G of the Standard Trading Conditions. In summary: if you cancel more than 48 hours before pickup, we may keep any non-refundable booking deposit your quote identifies and third-party costs already committed; within 48 hours before pickup, a cancellation charge of 50% of the quoted freight and service charges applies, with your payments credited toward it. A request to change your shipment is not a cancellation. If you are a consumer, your rights under consumer protection law apply in addition.
11. Website availability
We aim to keep the website available but do not promise that it will be uninterrupted or error-free. Tracking information comes from carriers and may be delayed or incomplete.
12. Intellectual property
All content on our website, including logos, trademarks, software and documents, is owned by LMS or licensed to us. You may not reproduce, distribute or create derivative works from it without our written permission.
13. Privacy
Our Privacy Policy explains how we handle personal information, including the use of AI services, address services and email tracking.
14. Electronic communications
We send you transactional messages about your enquiries, quotes, shipments, documents and invoices by email and, if you give us a mobile number and agree, by text message. We send promotional messages only with your consent, as Canada's anti-spam legislation requires, and every promotional message has an unsubscribe link.
15. Disputes and governing law
These Website Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, but this does not take away any right you have under the law to bring proceedings elsewhere. Before starting proceedings, please tell us about the dispute in writing so we can try to resolve it. If you are a consumer, nothing in these Website Terms requires you to use arbitration or prevents you from going to court or joining a class proceeding, and nothing shortens a limitation period that applies to you. Time limits for claims about shipments are set out in the Standard Trading Conditions.
16. Indemnity
If you are a business, you indemnify LMS against claims, losses and reasonable legal costs arising from your breach of these Website Terms or your misuse of the website. Indemnities for shipments are in the Standard Trading Conditions.
17. Severability
If any provision of these Website Terms is found invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision is read down only to the extent necessary.
18. Entire agreement
For use of the website, these Website Terms and our Privacy Policy are the whole agreement between you and LMS. For shipments, the agreement is your accepted quote or revised quote and the Standard Trading Conditions that apply to it.
19. Changes
We may update these Website Terms by posting a new version on this page with its effective date. A change applies to your use of the website after it is posted. It does not change a quote already sent to you or accepted by you, which stays on the Standard Trading Conditions it names.
